CHF Canada : Lakeridge Co-operative Housing Federation

In Ken Hummel's view, Lakeridge Co-operative Housing Federation ("CHF Lakeridge") was disolved as one of CHF Canada's Member Housing Federations' some years back.


Some of Ken's activities may have played a role... in CHF Lakeridge dissolution...


In Ken's view, as a result of CHF Lakeridge dissolution, Board of Directors and their representitives will no longer be able to pander to housing co-ops Board of Directors and staff that include Athol Green Co-operative Homes Inc.

Ministry of Government Services, Companies and Personal Property Security Branch ("MGS") Corporation Document List, Date Report Produced:2008/10/23 indicate that Lakeridge Co-operative Housing Federation Inc. Ontario Corporation No. 522394 last filed a Form 1, Initial Return/Notice of Change under the Corporations Information Act.


CHF Lakeridge was in violation of the Corporation Information Act, R.S.O. 1990, c. C.39 ("CIA").

The Business Regulation Reform Act, 1994, S.O. 1994, c. 32 should also be noted.


INFORMATION UPDATE: It should be noted that MGS records indicate that a Corporation Profile Report was filed on 2009/08/10 by CHF Lakeridge as Form 1 indicating four Directors and Officers. Director and/or Officer names noted in the report are Monique Wong, President, Lori Sims, Secretary, Lori Sims, Treasurer, Barb Patrick, Director, and Shela Bell, Director. Please note that some CHF Lakeridge directors and officers appear to be in breach of the Co-operative Corporations Act, R.S.O. 1990, c. C.35, s.90(4) based on representations filed on 2009/08/10. The Financial Services Commission of Ontario ("FSCO") advised MGS staff that CHF Lakeridge at the time of its incorporation had the amount of 5 directors, and the FSCO did not receive any by-law amendments regarding the change in number of directors.


Ken Hummel noted the CIA and advises that a Corporation Point In Time Report listing all changes in CHF Lakeridge director and officer information since 1995 should be filed with MGS. Ken advised that CHF Lakeridge remained in breach of the CIA.


CHF Canada's profile of CHF Lakeridge indicate that the Federation was governed by a board of eight directors, and the federation employs one part-time staff person. Ken stated that CHF Lakeridge was governed by a board of five directors. Ken may contact CHF Canada, and request that CHF Lakeridge profile be corrected.

    CONTARAY to the provisions of section 380 (1)(a) of the Criminal Code.

    2. That he, James McDermott, between October 31, 1996, at the Town of Pickering, in the Province of Ontario, unlawfully did steal $53,869.11, the property of Marigold Co-operative Homes Inc, of a value exceeding five thousand dollars,

    CONTRARY to provisions of section 334 (a) of the Criminal Code.

    MOVED BY Lakeridge Co-operative Housing Federation

    WE RESOLVE:

    1. THAT any member found guilty of a criminal offence related to fraud, theft or sexual conduct be ineligible to run for or act as a director, officer or other position in a housing co-operative or in organizations which comprise the housing co-operative sector.

    2. AND THAT the Ontario Council take whatever action it considers appropriate to see to it that:
    - appropriate changes are made to model occupancy by-laws and other model governance documents; and
    - the Ontario Co-operative Corporations Act be amended to give effect to this eligibility requirement.

    2001 CHF Ontario region annual meeting - on-line and downloadable documents, report on actions taken on the Ontario region annual meeting resolutions (pdf). Scroll down to page 3 to access LR3 Qualifications [to run for, or act as, a director of a sector organization]

    Lakeridge Co-operative Housing Federation submitted this late resolution. Delegates did not give it emergency status and so it was reffered to the Council to follow up. The Council asked its lawyer to comment on the legal issues related to the resolution and then considered it at its November meeting.

    The Council decided it could not support the resolution for these reasons:

    - The Council is concerned that the proposal to disqualify candidates from boards of directors it is at odds with the policy intent of the Ontario Human Rights Code. They believe it would have the effect of increasing the punishment for crimes of fraud, theft and sexual misconduct beyond what a judge already imposed.

    - They believe that Co-ops would face a number of practical problems if they tried to rule out candidates on the grounds set out in the resolution. Co-operatives would have to set up procedures to allow them to check the personal histories of all candidates in a way that is the same for everyone and also respects their privacy rights. This would be very hard to do.

    - The Council is concerned that checks of this kind could put people off running for the Board because they would not want to go through this process.

    - It would be very hard to convince the Province to amend the Co-operative Corporations Act in this way since neither the Act governing private non-profit housing nor the Act governing business corporations rule out board members for a record of offence.

    - Council members think it is better to let each Co-op Member decide whether someone who has a record of offence would make a good director.
